Welcome to MIRA, a hospitality companion platform provided by Your Own Circle Ltd ("we", "us", "our"). These Terms and Conditions govern your access to and use of the MIRA platform, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
Acceptance of Terms
By accessing our website at yourowncircle.com or using the MIRA platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
Description of Services
MIRA is a cloud-based, multi-tenant Software-as-a-Service (SaaS) platform designed for the hospitality industry. The platform provides employee management, real-time communication, compliance tracking, training, operational tools, and business intelligence capabilities. Access to specific features is determined by the modules enabled under your organisation's subscription.
Account Registration and Security
When you create an account on MIRA, you agree to:
Provide accurate, current, and complete information during registration.
Maintain the security and confidentiality of your login credentials.
Notify us immediately of any unauthorised access to your account.
Accept responsibility for all activity that occurs under your account.
We implement security measures including two-factor authentication and account lockout policies to help protect your account. However, you are ultimately responsible for safeguarding your credentials.
Subscription and Payment
4.1 Pricing. Access to MIRA is provided through subscription plans. Pricing is determined by the modules selected, the number of properties, and the number of active users. All prices are quoted exclusive of applicable taxes unless otherwise stated.
4.2 Billing. Subscriptions are billed in advance on a monthly or annual basis, as agreed in your service agreement. Payment is processed through our third-party payment provider.
4.3 Late Payments. Payments must be made by the due date specified in your invoice. Late payments may result in suspension of access to the Service and may incur additional charges as outlined in your service agreement.
4.4 Refunds. Refunds are handled on a case-by-case basis and will be discussed in accordance with the terms of your service agreement. No refunds are issued for partial billing periods unless otherwise agreed in writing.
Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with all applicable laws. You are prohibited from:
Using the Service for any unlawful, fraudulent, or harmful activity.
Attempting to gain unauthorised access to any part of the Service, other accounts, or connected systems.
Disrupting or interfering with the security, performance, or availability of the Service.
Using automated tools, bots, or scrapers to extract data from the Service without our express written consent.
Uploading content that is defamatory, obscene, or infringes on the rights of others.
Sharing login credentials with unauthorised individuals.
Data Protection and Privacy
6.1 Roles. Your Own Circle Ltd acts as a Data Processor for property-level data and as a Data Controller for platform-level data. Your organisation acts as the Data Controller for employee data processed through the Service.
6.2 Compliance. The Service is designed in compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. We maintain a Record of Processing Activities (ROPA) and have conducted a Data Protection Impact Assessment (DPIA) for the platform.
6.3 Data Isolation. Each property's data is logically isolated at the database level using Row-Level Security. No property can access another property's data.
6.4 Data Subject Rights. The platform supports the exercise of data subject rights including access, rectification, erasure, restriction, portability, and objection, in accordance with applicable data protection law.

Intellectual Property
7.1 Our Property. The Service, including all software, design, text, graphics, logos, icons, and underlying technology, is the intellectual property of Your Own Circle Ltd and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our express written permission.
7.2 Your Content. You retain ownership of all content you upload to the Service. By uploading content, you grant us a limited licence to store, process, and display that content solely for the purpose of providing the Service to you.
7.3 Feedback. If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation to you.
Service Availability and Support
8.1 Availability. We strive to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance where possible.
8.2 Support. Technical support is provided in accordance with the support terms outlined in your service agreement.
8.3 Updates. We may update, modify, or improve the Service from time to time. We will endeavour to notify you of material changes that affect your use of the platform.
Third-Party Integrations
The Service may integrate with third-party systems including Property Management Systems, payroll providers, and cloud storage services. These integrations are subject to the respective third party's own terms and conditions. We are not responsible for the availability, accuracy, or conduct of any third-party service.
Limitation of Liability
10.1 To the fullest extent permitted by law, Your Own Circle Ltd and its directors, employees, and agents shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Service.
10.2 Our total aggregate liability to you for any claims arising under these Terms shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.
10.3 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.
Warranties and Disclaimers
The Service is provided on an "as is" and "as available" basis. While we take every reasonable measure to ensure the Service is reliable, secure, and fit for its intended purpose, we do not warrant that the Service will be error-free, uninterrupted, or free from vulnerabilities. To the extent permitted by law, we disclaim all implied warranties including merchantability and fitness for a particular purpose.
Indemnification
You agree to indemnify and hold harmless Your Own Circle Ltd from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of any applicable law or regulation.
Termination
13.1 By You. You may terminate your subscription at any time in accordance with the terms of your service agreement. Termination takes effect at the end of the current billing period.
13.2 By Us. We reserve the right to suspend or terminate your access to the Service if we reasonably believe you have violated these Terms or if your conduct is harmful to the Service, other users, or our business.
13.3 Effect of Termination. Upon termination, your right to access the Service ceases immediately. We will retain your data for a reasonable period as outlined in our Privacy Policy and data retention schedule, after which it will be securely deleted.
13.4 Data Export. You may request an export of your data prior to termination, subject to applicable data protection law.
Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to These Terms
We may update these Terms from time to time to reflect changes in our Service, legal requirements, or business practices. Material changes will be communicated via the platform or by email. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.
